Master Services Agreement & Acceptance
By creating a workspace, connecting corporate data repositories, or using the NOVA API, you (“Customer”, “you”) agree to be legally bound by these Terms of Service. If you are entering into this agreement on behalf of a corporation or entity, you represent that you hold the legal authority to bind that organization.

Platform License & Acceptable Use
NOVA grants Customer a non-exclusive, non-transferable worldwide license to deploy autonomous agents and connect authorized software tools. Customer agrees not to: (a) attempt to reverse engineer or decompile the underlying deterministic state machine compiler; (b) use autonomous workflows to conduct denial-of-service attacks, spamming, or unauthorized credential harvesting; or (c) bypass tool authorization sandboxes or rate-limiting thresholds.

Intellectual Property & Output Ownership
Customer exclusively owns all rights, title, and interest in and to: (i) all Customer Data uploaded or synchronized from Google Drive, Notion, Slack, and Salesforce; and (ii) all Outputs, synthesized documents, code pull requests, and executive briefs generated by autonomous agents. NOVA acquires zero intellectual property rights over customer data or generated outputs.

Compute Tokens & Subscription Billing
Subscription fees are billed in advance on either a monthly or annual recurring cycle. Execution tokens allocated to your tier expire at the conclusion of each billing period, except on Annual Plans where unused tokens roll over for up to 60 calendar days. Upgrades occur on a pro-rated basis.

Service Level Agreement & Support
NOVA commits to 99.9% monthly platform availability for Pro plans and 99.98% for Business plans, measured across agent execution, retrieval, and API endpoints. If availability falls below the committed level, Customer receives service credits of 10% of the monthly fee for each 0.1% shortfall, up to 50% of that month’s fee.
Business customers receive a dedicated support channel with a 4-business-hour first-response target for high-severity incidents. Planned maintenance is announced at least 72 hours in advance and is excluded from availability calculations.

Limitation of Liability & Governing Law
To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, consequential, or punitive damages. NOVA’s total aggregate liability arising out of this agreement shall be capped at the total amount paid by Customer to NOVA during the twelve (12) months preceding the incident.
These Terms of Service are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflicts of law principles.
